Terms and Conditions for Tractus Multiview for NDI

These Terms and Conditions (“Terms”) govern your purchase, use, and access to the Tractus Multiview for NDI software (“Software”) provided by Tractus Events (“we,” “us,” or “our”). By purchasing, installing, or using the Software, you agree to be bound by these Terms.

Subscription Period

This Agreement will commence on the Commencement Date and will continue for the Subscription Period as defined by your subscription plan. The Software is sold on a subscription basis and will automatically renew on an annual basis unless you cancel prior to the renewal date.

Subscriptions and Renewals

Your subscription will automatically renew on an annual basis unless canceled prior to the renewal date. If you wish to terminate the agreement, you must cancel your subscription through the Lemon Squeezy site. Cancellation instructions are available at https://multiviewforndi.com/documentation/manage-activations/. Should you cancel your subscription, your license will remain active until the next renewal period, at which point it will revert to an unlicensed state. To continue using the Software, you will need to renew your subscription.

Price Changes

In the event of any subscription price changes, we will provide you with a minimum of 30 days’ notice before the price change takes effect. Price changes apply only to future renewals and are not retroactive.

Refund Policy

You may request a refund within 7 calendar days from the date of purchase. After the 7-day period, all purchases are final and no refunds will be issued. Renewals are subject to the same policy.

License and Activation

Upon purchase, you are granted a non-exclusive, non-transferable license to use the Software. Each purchased license allows activation on up to 2 PCs. Licenses remain the property of the individual or company that purchased them. You may deactivate a license at any time and transfer it to a different computer by visiting https://multiviewforndi.com/documentation/manage-activations/.

A persistent internet connection is not required for the use of the Software; however, an internet connection is necessary one time only to activate the license.

Sharing your license key is strictly prohibited. The act of sharing a license key with anyone outside your company is considered a transfer and is not permitted. If you personally purchased the license, you must not share your key with any other person or entity.

Sales and Payment Processing

License sales are conducted through Lemon Squeezy. Their privacy agreement is available at https://www.lemonsqueezy.com/privacy. We do not collect or store any credit card information; all payment processing is handled by Stripe and Lemon Squeezy.

Support Services

Your subscription includes support via email and Discord chat. Additional paid support options and custom development services are available; please contact us for further details and pricing regarding these additional services.

If you have a support agreement in place with Tractus Events for custom development and related services, and if any provisions of that support agreement conflict with these Terms, the support agreement shall take priority.

Usage Restrictions

You agree to use the Software only in compliance with all applicable local, national, and international laws and regulations and in a manner that does not infringe upon the intellectual property or other rights of any person or entity. Without limiting the generality of the foregoing, you further agree not to:

1. Intentionally disable or circumvent any licensing mechanism used to activate or deactivate the Software;
2. Share your account details or Registration Key with any other person;
3. Use the Software for any activity that is unlawful in the jurisdiction where either Tractus Events or you are registered or conduct business;
4. Intentionally disable or circumvent any geographical restrictions imposed when purchasing any Software license;
5. or Attempt, facilitate, or assist another person in engaging in any of the above activities.

Any breach of these restrictions may result in the immediate deactivation of your licenses without refund.

Trial Licenses

If you use a trial license, the Software will be fully functional but watermarked. Trial licenses are provided solely for evaluation purposes and may not be used for commercial productions.

Development and Beta Builds

From time to time, we may provide development or beta builds of the Software to certain customers for evaluation and testing purposes. Beta builds are provided without any warranty for production use, and support for these builds is provided on a best-effort basis only. Beta builds must not be redistributed without prior written consent from Tractus Events. Use of beta builds is subject to these Terms.

Privacy

Any personal information you provide will be processed in accordance with our Privacy Policy, which is available at https://www.tractusevents.com/privacy.

Warranty Disclaimer

The Software is provided on an “as-is” and “where-is” basis without any warranties of any kind, either express or implied. We do not warrant that the Software will be free from defects, errors, or interruptions. It is your responsibility to ensure that the Software is fit for your purposes and compatible with your environment. Under no circumstances will Tractus Events be liable for any damages arising from defects, errors, or other issues with the Software.

Limitation of Liability and Consequential Loss

Notwithstanding any other clause in this Agreement, and to the maximum extent permitted at law, neither party is liable to the other for any consequential loss arising out of or in connection with the use of or inability to use the Software.

Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement to the extent such failure or delay is due to causes beyond that party’s reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, government actions, labor disputes, or other events of force majeure.

Breach of Terms

If you are in breach of these Terms, we reserve the right to deactivate your licenses immediately without refund. We will attempt to contact anyone in breach of these Terms to seek a reasonable remedy, if possible.

Intellectual Property

The copyright of the Software belongs to Tractus Events. You may not copy, modify, distribute, or create derivative works of the Software except as expressly permitted by these Terms or by law.

Modifications and Updates

We reserve the right to update these Terms and Conditions at any time and will provide as much notice as possible of any changes. Your continued use of the Software after any such changes constitutes your acceptance of the new Terms.

Survival

The provisions of this Agreement that, by their nature, are intended to survive termination or expiration of this Agreement shall remain in full force and effect after such termination or expiration.

Notices

Any notice or communication required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by email to the email address associated with the User’s account, or mailed by prepaid post. In the case of a communication sent to Tractus Events, such notice shall be (i) sent via our Contact Us page at [Insert Contact Us URL], or (ii) either delivered in person or mailed by prepaid post to Tractus Events’ registered address.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the courts located in Ontario, Canada.

Entire Agreement and Severability

These Terms constitute the entire agreement between you and Tractus Events regarding the Software and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

NDI Notice

This product includes NDI software and technology licensed from Vizrt NDI AB. NDI is a trademark of Vizrt NDI AB. Vizrt and/or its licensors own all copyright rights in the NDI Software and NDI copyrightable technology utilized in the Software. All software herein, including the NDI software and technology, is subject to the restrictions set forth in this section. You may not reverse engineer, disassemble, or recompile the Software, including the NDI Software or any part thereof, or any NDI protocols used in the Software, nor attempt any of the foregoing. You may not copy, distribute, or create derivative works of the NDI Software (except that one copy may be made for archival backup purposes). Vizrt NDI AB is not liable for any damages, whether direct, indirect, incidental, or consequential, arising from the use of the Software and/or NDI. You accept the Software and NDI software as is, without warranties of any kind; all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and warranty of title, are expressly disclaimed and excluded. To the extent that any of the foregoing disclaimers is not allowed by applicable law, such term shall not apply, and in such case you agree not to utilize the NDI in the Software.

Open Source Components

The Software contains open source components that are subject to their respective licenses. In the event of any conflict between these Terms and the terms of an open source license, the provisions of the open source license shall supersede the corresponding provisions in these Terms.
